Terms and Conditions

1. Acceptance of These Terms

These Terms and Conditions (the "Terms") form a legally binding agreement between you and Criyo AI ("Criyo AI", "we", "us", "our") governing your access to and use of criyo.ai, the Criyo AI platform, and all related applications, integrations, and services (together, the "Services").

Criyo AI is a sole proprietorship operated by Charin Paresh Shah, with a registered place of business at Narayan Dabholkar Road, Mumbai, Maharashtra 400006, India, registered under GSTIN 27LANPS7535L1ZK in the trade name CRIYO AI.

By creating an account, clicking to accept these Terms, or accessing or using the Services in any way, you confirm that you have read and understood these Terms and agree to be bound by them, together with our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not use the Services.

If you accept these Terms on behalf of a company, agency, or other organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation.

2. Definitions

• Services means the Criyo AI platform and all associated features, including direct message automation, comment automation, lead capture, broadcast messaging, contact management, and in product reporting.
• Account means the registered account through which you access the Services.
• Connected Account means any Instagram professional account you authorise Criyo AI to access on your behalf.
• End User means any follower, lead, subscriber, or customer of yours with whom you communicate using the Services.
• Your Content means any text, media, message templates, automation flows, contact records, and other material you upload to or generate within the Services.
• Meta Policies means the Meta Platform Terms, the Meta Developer Policies, the Instagram Platform Policy, the Meta Messaging Policies, and any successor or related terms issued by Meta Platforms, Inc.
• Instagram Graph API means the official Meta application programming interface through which Criyo AI accesses your Connected Account. Criyo AI integrates with Instagram only.

3. Eligibility

To use the Services you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not have been previously suspended or removed from the Services
• Use the Services in compliance with all applicable laws and regulations

The Services are intended for business and professional use. They are not offered to individuals under 18 in any circumstance. We may verify your eligibility at any time and may suspend or terminate any Account that does not meet these criteria.

4. Accounts and Registration

You must register for an Account to use the Services. You may register using an email address and password, or by signing in with Google.

You agree that:

• The information you provide is accurate, current, and complete, and you will keep it up to date
• You are solely responsible for maintaining the confidentiality of your credentials
• You are responsible for all activity that occurs under your Account, whether or not authorised by you
• You will notify us immediately at support@criyo.ai if you believe your Account has been compromised
• You will not impersonate any person or entity, or misrepresent your affiliation with any person or entity
• You will not share, sell, or transfer your Account to any third party

Inaccurate, incomplete, or outdated registration information may result in suspension or termination of your Account. We are not liable for any loss arising from your failure to safeguard your credentials.

5. The Services

Criyo AI provides software that allows you to automate and manage conversations on social media accounts you own or are authorised to operate. This includes automated replies to direct messages and comments, keyword based triggers, lead capture, contact management, and reporting.

Criyo AI is a tool that acts on your instructions. You configure the automations. You decide who is messaged, what is sent, and when. We do not originate, review, or approve the content of the messages your automations send.

We may modify, add to, or discontinue any feature of the Services at any time. Where a change materially reduces the functionality of a paid plan, we will give you reasonable notice.

6. Connecting Your Instagram Account and Compliance with Meta Policies

6.1 Your Authorisation

To use the core features of the Services you must connect an Instagram professional account. Criyo AI integrates with Instagram only, through the official Instagram Graph API. We request three permissions: instagram_business_basic, instagram_business_manage_messages, and instagram_business_manage_comments. These are described in Section 4.2 of our Privacy Policy.

By connecting a Connected Account, you represent and warrant that:

• You own the Connected Account, or you are expressly authorised by its owner to operate it and to connect it to third party tools
• The account is an Instagram professional account, being either a Business or Creator account, as required by Meta for API access
• You have the authority to grant Criyo AI the permissions requested during the Meta authorisation flow
• Your use of the Connected Account through the Services complies with all Meta Policies

6.2 Meta Policies Bind You Directly

Your use of the Services in connection with any Meta platform is subject to the Meta Policies, in addition to these Terms. You agree to comply with the Meta Policies at all times. Where these Terms conflict with the Meta Policies in relation to your use of Meta platforms, the Meta Policies prevail.

You are responsible for reviewing the Meta Policies. They are available through the Meta for Developers and Instagram Help resources and may be updated by Meta at any time.

6.3 Consequences of Meta Enforcement

Meta may restrict, suspend, or terminate access to its APIs for your Connected Account, for Criyo AI, or for both, at its sole discretion. If that occurs:

• Some or all features of the Services may become unavailable to you, temporarily or permanently
• We are not liable for any resulting loss, including loss of revenue, leads, or access to your data
• No refund is owed for any period during which the Services are unavailable due to action taken by Meta

We may suspend or terminate your Account immediately, without notice, if we reasonably believe your use of the Services violates any Meta Policy or places our platform access at risk.

7. Acceptable Use and Messaging Conduct

This Section is fundamental to your right to use the Services. Breach of this Section may result in immediate termination without refund.

7.1 Messaging Rules

You agree that you will:

• Only send messages to End Users who have initiated contact with your Connected Account or who have otherwise given consent to be contacted, consistent with the Meta Policies and applicable law
• Honour every opt out, unsubscribe, block, or stop request promptly and permanently
• Not send unsolicited bulk messages, spam, chain messages, or repetitive messages to End Users who have not engaged with you
• Not use the Services to circumvent any rate limit, messaging window, or other technical restriction imposed by Meta
• Not use the Services to send messages that are misleading, deceptive, or that misrepresent who you are
• Comply with all applicable laws on electronic communications and unsolicited commercial messaging, including in the jurisdictions where your End Users are located

7.2 Prohibited Content and Conduct

You will not use the Services to create, send, store, or promote content that:

• Is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, or discriminatory
• Infringes any intellectual property, privacy, publicity, or other right of any third party
• Promotes or facilitates fraud, phishing, pyramid schemes, or financial deception
• Advertises or facilitates the sale of illegal goods or services, weapons, controlled substances, or counterfeit products
• Contains malware, viruses, or other harmful code
• Impersonates any person or entity or falsely claims an affiliation

You will also not:

• Sell, rent, lease, disclose, or transfer to any third party the data or contact information of End Users obtained through the Services
• Scrape, harvest, or bulk collect data from any Meta platform through the Services
• Use the Services to build a competing product, or reverse engineer, decompile, or attempt to derive the source code of the Services
• Interfere with, disrupt, probe, or attempt to gain unauthorised access to the Services or any related systems
• Use bots, scrapers, or automated tools against the Services other than the functionality we provide
• Resell, sublicense, or provide the Services to any third party except as expressly permitted by us in writing
• Exceed the usage limits of your plan, or take steps to circumvent them

7.3 Enforcement

We may investigate any suspected violation and may suspend or terminate your Account, remove content, or restrict features, with or without notice. Where we reasonably suspect conduct that endangers our platform access or breaches the Meta Policies, we may act immediately and without prior notice. We reserve the right to report unlawful conduct to law enforcement and to Meta.

8. Fees, Billing, and Taxes

8.1 Plans and Pricing

The Services are offered on the following subscription plans:

All prices are exclusive of Goods and Services Tax, which is applied at checkout. Annual billing is available at a 20 percent discount to the equivalent monthly rate.

There is no free trial. All plans are paid from the date of purchase.

Current plans, features, usage limits, and prices are published on our pricing page at criyo.ai/pricing and form part of these Terms. Where the pricing page and this Section differ, the pricing page prevails.

We may change our pricing at any time. For existing subscribers, a price change takes effect at the start of the next billing period following at least 30 days' notice.

8.2 Payment

All payments are processed by Razorpay Software Private Limited. By subscribing, you agree to Razorpay's terms in addition to these Terms. We do not store your complete card number, CVV, or UPI credentials at any time.

You authorise us and our payment processor to charge your selected payment method for all fees due, including applicable taxes.

8.3 Recurring Billing and Auto Debit

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

By selecting a paid plan, you authorise the creation of a recurring mandate on your card, bank account, or UPI, and you authorise automatic debit of the applicable subscription fee on each renewal date until you cancel. You will receive pre debit notification as required under Reserve Bank of India regulations for recurring payments.

If a payment fails, we may retry the charge, downgrade or suspend your Account, or terminate your subscription. You remain liable for all amounts accrued before suspension or termination.

8.4 Taxes

All fees are exclusive of Goods and Services Tax and any other applicable taxes, duties, or levies, which will be added to your invoice at the prevailing rate. If you are registered for GST, you are responsible for providing an accurate GSTIN. We are not responsible for any input tax credit lost as a result of incorrect details supplied by you.

For customers outside India, you are responsible for any taxes, withholdings, or charges applicable in your jurisdiction.

9. Cancellation and Refunds

9.1 Cancellation

You may cancel your subscription at any time through Settings in your Account, or by emailing support@criyo.ai. Cancellation takes effect at the end of your current billing period. You retain access to paid features until that date.

Your cancellation must be completed before the renewal date in order to avoid being charged for the next billing period.

9.2 Refunds

Subscription fees are non refundable except where required by applicable law.

Specifically:

• We do not provide refunds or credits for partial billing periods, unused time, or periods during which you did not use the Services
• We do not provide refunds where you failed to cancel before a renewal date and were charged for the subsequent period
• We do not provide refunds where your Account is suspended or terminated for breach of these Terms
• We do not provide refunds where the Services become unavailable due to action taken by Meta, as described in Section 6.3

Where we determine, at our sole discretion, that a refund is appropriate, it will be processed to the original payment method within 7 to 10 business days.

Acknowledgement. This no refund policy is disclosed to you before payment is taken. By completing a purchase, you confirm that you have read and accepted it, and that you understand subscription fees are non refundable.

9.3 Effect of Cancellation on Your Data

Following cancellation, your data is retained for a 30 day grace period during which you may reactivate or export it. After that period, your data is deleted in accordance with our Privacy Policy. You are solely responsible for exporting any data you wish to retain before the grace period ends.

10. Your Content and Your Audience

10.1 Ownership

You retain all ownership rights in Your Content. We claim no ownership over it.

10.2 Licence to Us

You grant us a worldwide, non exclusive, royalty free licence to host, store, process, transmit, reproduce, and display Your Content solely to the extent necessary to operate and provide the Services to you, to provide support at your request, and to comply with law. This licence terminates when Your Content is deleted, subject to residual copies in routine backups.

10.3 Your Responsibility for End User Data

In relation to the personal data of your End Users, you are the Data Fiduciary and we are the Data Processor, as set out in our Privacy Policy. You are solely responsible for:

• Having a lawful basis to contact your End Users
• Providing your own privacy notice to your audience
• Obtaining and recording any consent required under applicable law
• Honouring rights requests, opt outs, and deletion requests from your End Users
• The accuracy, legality, and content of all messages sent through your Account

You represent and warrant that you have all rights and consents necessary for us to process End User data on your behalf.

11. Intellectual Property

The Services, including all software, interfaces, designs, text, graphics, logos, documentation, and the Criyo AI name and marks, are owned by Criyo AI and protected by Indian and international intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non exclusive, non transferable, non sublicensable licence to access and use the Services for your internal business purposes for the duration of your subscription.

All rights not expressly granted are reserved. You may not use our name, logo, or marks without our prior written consent.

If you provide feedback, suggestions, or ideas about the Services, you grant us an unrestricted, perpetual, royalty free right to use them without obligation or compensation to you.

12. Third Party Services

The Services integrate with third party platforms and providers, including Meta, Google, Razorpay, and others. These are not operated or controlled by us.

Your use of any third party service is governed by that provider's own terms and privacy policy. We are not responsible for the availability, accuracy, performance, or conduct of any third party service, or for any loss arising from changes to, interruption of, or termination of a third party service or its APIs.

No affiliation with Meta. Criyo AI is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or Instagram. Criyo AI operates as an independent third party developer using Meta's official Instagram Graph API. We do not scrape any Meta platform. Nothing in the Services or our marketing should be taken as a representation that Meta endorses or approves Criyo AI.

13. Service Availability and Support

We aim to keep the Services available and functioning, but we do not guarantee uninterrupted or error free operation. The Services may be unavailable due to scheduled maintenance, emergency maintenance, third party outages, force majeure, or factors outside our reasonable control.

We provide support by email at support@criyo.ai during standard Indian business hours. Support is provided on a reasonable efforts basis unless a specific service level is agreed with you in writing.

14. Suspension and Termination

14.1 By You

You may terminate these Terms at any time by cancelling your subscription and deleting your Account.

14.2 By Us

We may suspend or terminate your Account and your access to the Services, with or without notice, if:

• You breach these Terms, including Section 7
• You breach any Meta Policy, or your conduct places our platform access at risk
• Any amount due from you remains unpaid
• We reasonably suspect fraud, abuse, or unlawful activity
• We are required to do so by law, by a regulator, or by Meta
• We discontinue the Services generally

Where it is reasonable and lawful to do so, we will give you prior notice. Where the breach is serious, or where notice would prejudice our platform access or the safety of others, we may act immediately.

14.3 Effect of Termination

On termination, your licence to use the Services ends immediately, you must cease all use, and any amounts accrued before termination remain payable. Sections 7, 10.3, 11, 15, 16, 17, 18, 19, and 20 survive termination.

15. Child Safety and Protection

Criyo AI maintains a zero tolerance policy for child sexual abuse and exploitation, including child sexual abuse material, across the Services.

Prohibited conduct. You must not use the Services to create, upload, store, transmit, or distribute any content that sexualises, exploits, or endangers a child. This includes child sexual abuse material, grooming, sexual extortion, trafficking, predatory conduct, and any content that encourages or depicts harm to children.

Reporting and enforcement. Reports may be sent to support@criyo.ai, which is our designated child safety point of contact. We investigate all reports promptly. Confirmed violating material is removed immediately, the responsible Account is terminated, and, where required by law, the matter is reported to law enforcement and to the relevant child protection authorities in India, including through the National Cyber Crime Reporting Portal.

User responsibility. By using the Services you agree not to engage in any child endangering conduct and to comply with all child safety laws applicable in your jurisdiction. Accounts found in violation will be terminated without refund and may be reported to the authorities and to Meta.

Review. We review our child safety processes periodically and update them as legal requirements evolve.

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that the Services will meet your requirements.

We make no representation or guarantee as to any business result. We do not guarantee any level of engagement, leads, conversions, followers, revenue, or growth arising from your use of the Services. Any figures, case studies, or examples shown in our marketing are illustrative and are not a promise of results.

We do not guarantee continued availability of any third party API, including those operated by Meta.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, LEADS, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE TOTAL AMOUNT YOU ACTUALLY PAID TO US IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

Any claim arising out of or relating to these Terms must be brought within one year of the date the cause of action arose.

18. Indemnity

You agree to indemnify, defend, and hold harmless Criyo AI, Charin Paresh Shah, and our employees, contractors, and agents from and against any claim, demand, liability, damage, loss, cost, or expense, including reasonable legal fees, arising out of or relating to:

• Your use or misuse of the Services
• Your breach of these Terms, including Section 7
• Your breach of any Meta Policy
• The content of any message sent through your Account
• Any claim by an End User relating to your handling of their personal data or to messages they received from you
• Your violation of any applicable law or the rights of any third party

We will notify you of any such claim and may, at our own expense, assume the exclusive defence and control of the matter, in which case you agree to cooperate with us.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

19.2 Jurisdiction

Subject to Section 19.3, the courts at Mumbai, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

19.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including its existence, validity, breach, or termination, that is not resolved through good faith discussion within 30 days of written notice, will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996.

The arbitration will be conducted by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be Mumbai, Maharashtra, India. The language of the arbitration will be English. The award will be final and binding on both parties.

Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

20. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, we have appointed a Grievance Officer.

Grievances are acknowledged within 48 hours and resolved within 30 days of receipt. Please include your registered email address, a clear description of the issue, and any supporting information.

21. Changes to These Terms

We may amend these Terms from time to time. When we do, we will update the Effective Date at the top of this page.

For material changes, we will give existing users at least 30 days' notice by email or in product notice before the change takes effect. Your continued use of the Services after the change takes effect constitutes acceptance of the amended Terms. If you do not agree, you must cancel your subscription and stop using the Services before the effective date of the change.

22. General

Entire agreement. These Terms, together with the Privacy Policy and any plan specific terms published on our pricing page, constitute the entire agreement between you and us regarding the Services and supersede all prior understandings.

Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.

Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.

Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, internet or telecommunications failure, or the acts or omissions of third party service providers.

Electronic communications. You consent to receive communications from us electronically. You agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that they be in writing.

Interpretation. "Including" means "including without limitation". Section headings are for convenience only.
