Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Creator Lab ("we," "us," or "our"), the company that operates CRIYO.

By creating an account, accessing, or using CRIYO at criyo.ai, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms work together with our Privacy Policy, Cookie Policy, Refund Policy, and Data Deletion Instructions.

1. About CRIYO

CRIYO is an Instagram automation and lead conversion platform.

CRIYO is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., Instagram, WhatsApp, or any of their subsidiaries. CRIYO uses Meta's official Instagram Graph API as a third-party developer.

2. Eligibility

To use CRIYO, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract in your jurisdiction
• Own or have authorization to manage the Instagram account you connect to CRIYO
• Comply with Meta's Instagram Terms of Use and Community Guidelines
• Not be barred from using CRIYO under applicable law

If you're using CRIYO on behalf of a business, you confirm you have the authority to bind that business to these Terms.

3. Account Registration

3.1 Creating an Account

To use CRIYO, you must create an account by providing accurate, current, and complete information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password, for all activity that occurs under your account, and for notifying us immediately at support@criyo.ai if you suspect unauthorized access.

3.3 One Account Per User

Each individual or business may maintain only one CRIYO account, except where multi-account access is explicitly enabled by an Enterprise plan.

4. Subscription Plans and Payment

4.1 Plans

Prices are displayed in Indian Rupees (₹) for users in India and in US Dollars ($) for international users.

4.2 Payment

Payments are processed through Razorpay (for Indian users) and other payment processors (for international users). By subscribing, you authorize us to charge your payment method automatically at the start of each billing cycle.

4.3 Taxes

All prices are inclusive of applicable Goods and Services Tax (GST) for Indian users. For international users, applicable taxes will be added at checkout based on your location.

4.4 Price Changes

We reserve the right to change subscription pricing. Any price changes will be communicated at least 30 days in advance via email.

4.5 No Refunds

5. Free Plans and Trials

CRIYO does not currently offer a free plan or free trial. All access requires an active paid subscription.

6. Cancellation

6.1 How to Cancel

You may cancel your CRIYO subscription at any time through your account settings or by emailing support@criyo.ai.

6.2 What Happens After Cancellation

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing cycles
• You will retain access until your billing period ends
• After your billing period ends, your automations will stop and your account will move to read-only for 30 days
• After 30 days of inactivity, your data will be permanently deleted

6.3 No Refunds on Cancellation

Cancellation does not entitle you to a refund for unused time on your current billing period.

7. Instagram Integration

7.1 Connecting Instagram

To use CRIYO's core features, you must connect an Instagram Business or Instagram Creator account using Meta's official OAuth authorization flow.

7.2 Compliance with Meta's Policies

You agree to use CRIYO in full compliance with Instagram's Community Guidelines, Instagram's Terms of Use, and Meta's Platform Terms and Developer Policies. You acknowledge that Meta may restrict, suspend, or terminate your Instagram account's API access if you violate these policies, and that CRIYO has no control over such decisions.

7.3 Disconnecting Instagram

You may disconnect your Instagram account from CRIYO at any time. Disconnection will immediately stop all active automations and revoke our access to your Instagram data.

8. Acceptable Use Policy

You agree NOT to use CRIYO to:

8.1 Spam and Abuse

• Send unsolicited mass DMs or comments
• Engage in coordinated inauthentic behavior
• Manipulate engagement metrics through fake accounts or bots
• Send misleading, deceptive, or fraudulent messages

8.2 Illegal Content

• Distribute illegal content, products, or services
• Promote violence, hate speech, harassment, or discrimination
• Distribute sexually explicit content or solicit minors
• Engage in financial fraud, phishing, or identity theft

8.3 Intellectual Property Violations

• Distribute copyrighted material without authorization
• Impersonate other individuals or businesses
• Use trademarks or branding you do not own

8.4 Platform Abuse

• Reverse engineer, decompile, or attempt to extract CRIYO's source code
• Access CRIYO through automated means other than our official API
• Resell, sublicense, or redistribute CRIYO's services without our written consent
• Use CRIYO to build or train a competing product
• Attempt to circumvent rate limits, security measures, or plan restrictions

8.5 Misuse of Lead Data

• Sell, share, or transfer leads captured through CRIYO without the leads' explicit consent
• Use captured lead data in ways that violate applicable data protection laws
• Send marketing messages to leads who have not consented

8.6 Account Misuse

• Share your account credentials with others
• Create multiple accounts to evade plan limits or violate Terms
• Use CRIYO to manage Instagram accounts you do not own

9. Your Content and Data

9.1 Ownership

You retain full ownership of all content you create, upload, or capture through CRIYO.

9.2 License to Operate the Service

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely to provide the Service to you.

9.3 Your Responsibilities

You are solely responsible for the accuracy, legality, and appropriateness of Your Content, and for obtaining all necessary rights and consents.

10. CRIYO's Intellectual Property

The CRIYO platform is owned by Creator Lab. You may not copy, modify, or create derivative works of CRIYO; use CRIYO's branding or trademarks without our written permission; or remove or alter any copyright, trademark, or proprietary notices.

11. Service Availability

11.1 Best-Effort Service

We aim to provide CRIYO with high availability but do not guarantee uninterrupted, error-free service for Pro and Pro Plus plans.

11.2 Service Disruptions Beyond Our Control

We are not responsible for service disruptions caused by Meta's API outages, rate limit changes, or policy updates; internet or third-party infrastructure failures; force majeure events; or your own actions.

11.3 Enterprise SLA

Only Enterprise customers receive a contractual Service Level Agreement (SLA) with uptime guarantees.

12. Third-Party Services

CRIYO integrates with third-party services including Meta (Instagram), Razorpay, Cloudflare, Supabase, Resend, and others. We are not responsible for the availability, accuracy, or reliability of third-party services.

13. Disclaimers

13.1 "As Is" Service

13.2 No Guarantee of Outcomes

We do not guarantee any specific business outcomes (leads, sales, followers, revenue), that your Instagram account will not be restricted/suspended/banned by Meta, or that your automations will perform at any particular rate.

14. Limitation of Liability

14.1 Liability Cap

Our total liability to you for any claim is limited to the total amount you paid us in the three (3) months immediately preceding the claim.

14.2 Excluded Damages

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, or data.

15. Indemnification

You agree to defend, indemnify, and hold harmless Creator Lab from any claims arising from your use or misuse of CRIYO, your violation of these Terms, or your violation of third-party rights.

16. Account Suspension and Termination

16.1 Termination by Us

We may suspend or terminate your account, with or without notice, if you violate these Terms or our Acceptable Use Policy; your payment fails and is not resolved within 14 days; you engage in fraud or activity harmful to CRIYO; required by law or Meta requires us to terminate access; or your account is inactive for more than 12 months.

16.2 Effect of Termination

Upon termination your access to CRIYO ends immediately, your data is retained for 30 days then permanently deleted, and no refunds will be issued.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you via email at least 30 days in advance for material changes.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

19. Dispute Resolution

19.1 Informal Resolution

Before initiating formal proceedings, contact us at support@criyo.ai. We will respond within 30 days.

19.2 Arbitration

If informal resolution fails, disputes may be resolved through arbitration under the Indian Arbitration and Conciliation Act, 1996, conducted in Mumbai, in English.
